1.1. Name of the fund: Circular Fund for Investing in Initiatives for the Advancement of Women and Gender Equality (hereinafter: the “Fund“).
1.2. The Fund operates under the World Zionist Organization (hereinafter: the “WZO“) and is not an independent legal entity.
1.3. The Fund’s place of activity: at the World Zionist Organization – Tikun Olam and Social Activism Department, 48 King George St., Jerusalem.
1.4. The Fund is subject to the provisions of these bylaws (hereinafter: the “Bylaws“) as well as to the procedures and instructions of the WZO.
2.1. The Fund was established by the World Zionist Organization, through the Tikun Olam and Social Activism Department (hereinafter: the “Department“).
2.2. The purpose of its establishment: promoting women and gender equality in Israeli society in various fields, by providing infrastructure and resources in a quick and flexible manner to support and encourage initiatives and activities to solve problems in key areas that constitute barriers and/or to create a supportive and growth environment in Israeli society.
3.1. The head of the Fund will be the Chairman of the Tikun Olam and Social Activism Department.
3.2. Whenever the head of the Department changes, the Chairman of the Fund will change accordingly.
4.1. For the purpose of its activity, the Fund will establish a public council which will include up to 20 Israeli members, the Council will be headed by the Chairman of the Fund.
4.2. The members of the Council will be appointed for a period of two years with the option of renewing the appointment for an additional two years.
4.3. The decisions in the Council will be determined by a majority vote; in case of a tie, the opinion of the Chairman of the Council will be determinative.
4.4. The members of the first Council will be chosen by a committee that will be established especially for this purpose by the WZO and the following will be chosen by a vote of the members of the Council.
4.5. The Public Council will choose every year up to 5 topics from the field of women’s advancement and gender equality that will be the focus of the Fund’s activities.
The Public Council may choose the final projects and only those will be voted on by the community of donors (which will be defined later).
4.6. The Council will focus on finding and encouraging projects on topics chosen by it each year.
4.7. The Council will act to distribute a call for projects to be submitted to the Fund according to the topics chosen by it, as mentioned.
5.1. A president shall be appointed to the Fund who will be recommended by the Chairman of the Fund and will be put to a vote for approval by the Public Council.
6.1. For the purpose of the Fund’s activities and the implementation of projects, the Council will work to recruit a community of donors.
6.2. The Council will determine an equal contribution amount for each of the donors, for the activities of the Fund.
6.3. The community of donors will include, each year, up to 100 donors in total, unless otherwise decided by the Council, among other things, with reference to the selected projects.
6.4. The Council will work to schedule, at least twice per calendar year, a gathering for the donor community.
6.5. Each member of the donor community will have the right to vote and have equal influence in the selection of projects that will receive the Fund’s support.
6.6. The selection of the winning projects will be decided by the donor community, by a vote, with a majority of votes. The vote can also be held by electronic means, the results of the vote will be open.
6.7. The foundation will publish a membership application form for new donors on its website that will include required relevant details including identification details and agreement to the Fund’s Bylaws.
6.8. The form will include information regarding the possibility of using the registrant’s personal details and the registrant’s consent to the uses that will be made with the information.
7.1. An invitation, demand, warning and other notice from the Fund to the donor will be delivered to the donor according to the address registered in the donor register or via an email address according to the details he provided at the time of his registration.
7.7. The Fund may amend these Bylaws by resolution of a general meeting.
7.3. The WZO will be entitled to stop the activity of the Fund, for any reason, as it deems appropriate to do so.
7.4. Jurisdiction for any dispute concerning the Fund’s activities will be adjudicated exclusively by the competent courts in Jerusalem.
